This is a 5 year Agreement commencing on 1st August 2006 and terminating on 31st July 2011. In the first year of this Agreement a five year licence and a three year licence are available. In subsequent years of the Agreement all licences will run from the date of signing until the end of the Agreement period. Sites which choose a three year licence will be able to extend their licence for the final two years of the agreement.
Institutions may participate at any time during the period; however they will be bound until the end of the chosen period.
The Agreement to which this refers is a formal agreement between Eduserv and Hummingbird Communications Ltd.
Hummingbird products have been available to sites for a number of years through a Chest/Computacenter Agreement. The Agreement has now been renewed for a further 5 years direct with Hummingbird Communications Ltd.
The Agreement covers Exceed, Host Explorer, Exceed 3D, NFS Maestro Solo, NFS Maestro Server, Exceed on Demand, BI Query and Connectivity Secure Shell software and one set of documentation for each platform provided. The charges also include support, new versions, system releases and associated new documentation. New platforms will be available within the charges if and when commercially available from Hummingbird.

Exceed - allows X applications, normally available only on powerful UNIX workstations, to be readily accessed from a Microsoft Windows desktop PC. Supports X11R6.8, the latest X Window system release and also includes support for the new Windows x64 family processors.

Host Explorer - provides a sophisticated Telnet type connection from a Windows desktop PC to powerful UNIX, LINUX or IBM host machines. It supports many types of emulation including TN3270E, TN5250E, and Telnet data streams. Host Explorer can be easily integrated into just about any networking environment.

Exceed 3D - is an add-on to Exceed and adds the advanced graphical computing power of OpenGL API (the industry standard three dimensional visual interface) to Exceed. By using the accelerated power of Windows based PCs, Exceed 3D enables high-end engineering and finite analysis applications based on OpenGL to be run on the desktop.

NFS Maestro Solo - is the de facto standard for Network File System protocol on a PC, it supports all the latest NFS technologies, including NFSv4, NFS over TCP and WebNFS. The advanced NFS features, strong security, seamless integration with the Windows operating systems and comprehensive support of directory services make NFS Maestro Solo a very advanced, secure PC NFS client. It also provides bi-directional file and printer access between Windows and NFS-enabled hosts.

NFS Maestro Server - enables UNIX users to NFS mount Windows-based file systems and access resources that are otherwise local to Microsoft Windows Network These might include Windows file systems, directories, printers, and CD-ROMs. Authentication and authorization are handled behind the scene completely transparent to the end users.

Exceed on Demand - is a powerful ultra-thin server-based PC X server. It has the same roots as Exceed and securely connects you to 2D and 3D X applications over any type of network connection making it a suitable solution for mobile workers. Exceed onDemand delivers excellent value in scalability, manageability, security and productivity. It includes built in support for SSH, SSL and OpenGl.

BI Query - is a powerful query and reporting application that helps users ask questions about database information and visualize the answers for more effective decision-making. BI/Query utilizes data models-graphical representations of underlying database structures - and a powerful reporting environment to access and analyze data sources quickly and easily. With BI Query, users can easily create ad hoc queries with qualifications and prompts. Meaningful, eye-catching reports can be created containing data from multiple sources, charts, tables, and crosstabs.
Connectivity Secure Shell - is an add-on to Exceed and Host Explorer which provides a Secure Shell TCP tunnel for communications between clients and hosts on a network. It is a robust and comprehensive security toolset with support for SSH, SSL and Kerberos.

This Site licence is subject to standardChest terms and conditions plus Special Licence Conditions for Granted Rights and Warranty. Copying of the Software is allowed at any Institution for use by any member of staff or student in accordance with Clause 3 of the Licence and the standard Code of Conduct for the Use of Software or Data. At the end of each academic term, sites will make available to Hummingbird, if required, a check-list showing numbers of copies taken for each Product.
At the end of the Agreement Licensed Sites are required to remove all copies of Hummingbird Products from their systems, unless they renew their licence for a further term or opt for a buy out option which will be available at the end of the current agreement. An exception to this is limited-user Exceed 3D licences, which are perpetual at the end of agreement but without updates and support.
Evaluation copies of Hummingbird products can be downloaded from the Hummingbird web pages at: www.hummingbird.com, click on 'Products' and select required product for the download.
One set of media and documentation, for each product licensed, will be provided by Hummingbird or their appointed agent. Additional copies are available direct from Hummingbird or their appointed agent, an additional fee may be payable. Licensed Sites should contact Hummingbird direct for more information.
Hummingbird will permit the copying of the Licensed Materials by one department on behalf of the Licensed Site on a cost recovery basis, providing that such copies are for use within the terms and conditions of the Licence in Appendix A to Schedule 4.
Hummingbird or their appointed agent agrees to provide to the Institutions under this Agreement new Versions and new System Releases for all items for which they are licensed, when commercially available, as defined by the current Hummingbird Platform Availability List, throughout the period of the Agreement.

Special Pricing Arrangements for five year Licences
Special Pricing Arrangements exist for Sites that entered into either a three or five year licence in 2006
Sites that entered into a three year licence in 2006 may extend the term of that licence for an additional two years at the annual fees shown below. Please note that no refund will be given in respect of the annual fees paid in the first three years of the licence.
Sites that entered into a five year licence in 2006 may purchase additional product licences at the annual fees shown below.
There is no pro-rata charging for Sites which become licensed part-way through a year.
In the event that a Licensed Site requests an addition to an existing licence under this Agreement, Eduserv reserves the right to apply an additional charge of £150+VAT to any additional fees due from the Licensed Site if the fees require that an additional invoice be issued to the Licensed Site by Eduserv.

On receipt of a completed Licence, Sites will be invoiced for the Agreement year in which the Licence is signed.
For each subsequent year, Sites will be invoiced three months in advance of the anniversary date of the Agreement (invoice date: 1st May).
There is no pro-rata charging for Sites which become licensed part-way through a year.
All payments must be made to "Eduserv" within 30 calendar days of the date of invoice.
Note: You are advised that because of the requirement for Eduserv to collect monies due before the anniversary date two charges may fall initially into one academic accounting year.
Complete the Commitment to Participate Form, 2 copies of the licence and one copy of the Software Order Form and return them to Eduserv Chest, Queen Anne House, 11 Charlotte Street, Bath, BA1 2NE
